What is a director at large? What is a non-executive director? Non-executive director versus director at large?
“Director at large” is sometimes used to refer to an independent or outside director of a company or other organization. Traditionally, directors of company were executive directors, or individuals who also had full-time jobs within the company. Directors at large, also called non-executive directors, do not have a position within the company and are thus are only usually involved with broad planning and policy making decisions.
Directors at large are becoming more important and prominent following recent corporate scandals as they are seen as being more impartial than executive directors and better able to represent shareholder interests rather than the interests of entrenched management.
